By using the Site you represent and warrant that (a) you are at least 18, (b) you act in a research capacity for one of the eligible institution categories above, and (c) you hold every licence, permit, and authorisation your jurisdiction requires to receive, handle, and use the materials you inquire about, strictly for Research Use Only.
We do not serve consumers, patients, or finished-product manufacturers, and we do not supply for personal use, for compounding into finished drug or cosmetic products, or for any use outside a qualified research workflow.
These Terms of Use ("Terms") cover your access to and use of lyochem.com and any subdomain or successor site Lyochem ("Lyochem", "we", "us") operates. Using the Site means you accept these Terms and our Privacy Policy.
Accessing the Site for an organisation means you warrant you can bind that organisation, and "you" then means both you and it.
If these Terms are not acceptable to you, do not use the Site.
Unless a signed agreement says otherwise, everything listed here is supplied for research use in compliance with the buyer's local regulations. Some peptides on the Site are under active regulatory review (e.g. FDA Pharmacy Compounding Advisory Committee proceedings, EMA scientific advice, or national post-market surveillance), and that review status does not change their RUO scope here.

At our sole discretion we may decline orders we consider inconsistent with applicable regulations, sanctions, export controls, or our compliance policies, and we may ask for further documentation (licences, end-use certificates) before we process one.
We work to keep specifications, CAS numbers, regulatory notes, lead times, and documentation accurate, but all Site content is general information and may change without notice.
Binding commercial terms — price, minimum order quantity, lead time, payment, packaging, labelling, regulatory representations — exist only in a written quotation and the matching purchase agreement or invoice. For identity, purity, and quality, the batch-specific Certificate of Analysis (COA) is the authoritative record.
We may correct any Site error or omission, including pricing and product details, even after you inquire, and may refuse or cancel orders placed on the basis of erroneous information.
Everything on the Site — lab notes, sourcing guides, comparison articles, product descriptions — is informational only. None of it is medical, clinical, pharmacological, legal, tax, or regulatory advice, and none of it should be read as a claim that any material is safe, effective, or suitable for a given use.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) WHAT YOU PAID US FOR THE SPECIFIC MATERIALS GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE IT, OR (B) USD 100.
These limits do not cover damage from our gross negligence or wilful misconduct, or obligations that cannot be limited under applicable law.
You agree to defend, indemnify, and hold harmless Lyochem and its affiliates against any third-party claim, damage, liability, cost, or expense (including reasonable attorney fees) arising from: (a) your breach of these Terms; (b) your breach of any law or regulation; (c) your downstream use of any material, including resale, formulation, or administration; or (d) any misstatement of your eligibility as a qualified research buyer.
We may suspend or terminate your Site access at any time, with or without notice, for any reason, including suspected breach of these Terms or the law. Provisions meant to survive — intellectual property, disclaimers, liability limits, indemnification, governing law — survive termination.
Neither party is liable for delay or non-performance caused by events beyond its reasonable control: natural disasters; government action; war, terrorism, or civil disturbance; epidemic or pandemic; cyber attack; utility failure; customs holds, embargoes, sanctions, or other trade-control actions; carrier delays; raw-material shortages; or labour disputes. Affected obligations pause for the duration of the event.
These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the Site goes to binding arbitration administered by the Shanghai International Arbitration Center (SHIAC) in Shanghai, in English, before a single arbitrator. The award is final and binding and may be entered in any court of competent jurisdiction.
Either party may still seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
For a specific signed commercial agreement (master supply, custom synthesis, multi-site research-reagent supply), that agreement's dispute-resolution clauses override this section where they conflict.
If any provision is held invalid or unenforceable, the rest stays in force. These Terms, with our Privacy Policy, Cookies Policy, and any signed commercial agreement, are the entire agreement between you and Lyochem regarding the Site and supersede all prior communications.
We may revise these Terms; the revised version takes effect on the Effective Date above, and continued use after that date is acceptance. For material changes we will give reasonable advance notice on the Site.
